INTERNATIONAL BANK

FEASIBILITY, RISK AND CORPORATE GOVERNANCE PRACTICES EVALUATION, FOR CREDIT AND INVESTMENT DECISION.

DEMAND: International Investment and Development bank received a request for financing and capital injection by a Brazilian entrepreneurial group for a sugar and alcohol plant expansion project. For deliberation, it was necessary to assess the feasibility and inherent risks of the project, as well as the good corporate governance practices of the entrepreneurial group, given the long-term logic of the intended financial support.

SOLUTION: A team of senior professionals from Orchestra - Soluções Empresariais, assisted by agricultural and sugar cane specialists brought from abroad (Hawaii and the Caribbean), carried out an evaluation of the project, the company and its holding economic group.

OUTCOME: A positive opinion was formalized about the feasibility of the project and investments, conditioned to the express recommendations of organizational, operational, legal and guarantee covenants that should be required by the bank for the loan and investment. These conditions were not accepted by the claimants, what fortunately kept the bank out of the deal, as the group ended up with problems that caused its closing some time later.                                            

MECHANICS AND METAL SHOP

GUIDANCE AND ADVISING FOR A MULTINATIONAL TOWARDS INTRODUCTION OF OPERATIONS AND A SUBSIDIARY IN BRAZIL

DEMAND: The largest American company that manufactures milking equipment and tanks for milk storage and refrigeration decided to install an operation in Brazil and was looking for local support to implement this project.

SOLUTION: Orchestra - Soluções Empresariais team of associates traced the path for this, from strategy design, commercial, financial, manufacturing and supply structure, to the analysis of options to build a local enterprise or acquire a local company already in operation.

OUTCOME: The local company was created and implemented with leasing of facilities, outsourcing of industrial activity and assembly of its own sales, administration and finance team, all structured and coordinated by our team. Having reached the second position in the Brazilian market in less than 3 years, we then went on to sell it to local investors due to problems arising from the bankruptcy of its parent company abroad.

RETAIL BANK

ACQUISITION, STRUCTURING AND ACTIVATION OF A FINANCIAL INSTITUTION FOR A RETAIL TRADE NETWORK.

DEMAND: An important retail chain decided to set up a financial arm to support the financing of its sales. The charter regime, still in force, meant the need to acquire an existing institution.

SOLUTION: The mentor and leader of Orchestra - Soluções Empresariais, with extensive executive experience in banking, led the work of identifying an institution eligible for acquisition, conducted the negotiations that concluded successfully the deal and formalized the process with the Central Bank of Brazil, all in conjunction with an associated legal firm. Subsequently, he temporarily occupied the executive direction to develop and implement the entire marketing and operational strategy, to obtain and apply resources, as well as to assemble the executive team and implement appropriate procedures and systems. Once the operation was consolidated, our support and involvement ended, with the hiring of executives, some of whom still manage the bank until today.

OUTCOME: Retail network and banking continue to be widely successful today, having expanded to other countries.
